Services

Legal coverage for a company spread over several countries.

The work follows what the company is doing: running its operations, closing transactions, entering markets, raising funds. Each of the four areas can be commissioned on its own, as a fixed-scope project or on a monthly retainer.

01

Operations

For groups whose companies, data and systems answer to more than one authority. The aim is a single framework that each regulator can audit and your teams can follow.

Data protection across regimes

The data-protection laws that apply to the group, built as one system: records of processing, privacy notices, processor agreements, transfer terms and a breach procedure built around every notification deadline that applies. Includes representative arrangements where a company serves a market it has no establishment in.

AI governance

An inventory of the AI in use, a classification of each use under the EU AI Act, a policy the board can adopt, and the staff AI-literacy measures the Act expects. Where it helps, Lexaero builds the internal tooling as well.

Information security and sector regulation

Gap reviews against the regime your regulator audits, with a remediation roadmap. The founder has carried out such a review himself in one sector. In another, Lexaero works with a specialist in that regime, and the proposal names them.

Authorised representation and filings

Acting as registered authorised representative (gevolmachtigde) for Dutch companies owned from abroad: preparing the filings for board changes, UBO updates and the annual accounts your accountant draws up, and making them where the registered power of attorney and the Chamber of Commerce's rules allow, all run from a compliance calendar.

Corporate housekeeping

Preparing board and shareholder resolutions, keeping the shareholder register current, and advising management on what company law expects of directors who sit abroad.

Ongoing support

A monthly retainer for what keeps arriving: regulator correspondence, new agreements, audits, and watching the rules that are about to change.

02

Transactions

For agreements and deals with a party, an asset or a company that sits in another legal system.

Commercial contracts

Drafting, review and negotiation of service, supply, distribution, licence and consultancy agreements, and of the data-processing terms beneath them. Governing law and forum are settled first, with enforcement in mind.

Deal support

For acquisitions, investments and joint ventures: legal due diligence on the corporate, contract, IP and regulatory side, the regulatory and data-protection workstream, and document preparation alongside the deal counsel and tax adviser you appoint.

Notarial deeds and steps reserved to locally admitted lawyers are carried out by a notary or law firm, coordinated by Lexaero.

Intra-group agreements

Service, licence and data-sharing agreements between your own entities. Regulators, tax authorities and buyers all ask to see them. Lexaero drafts them around the transfer-pricing policy set by your tax adviser, and keeps one template set across the group where local law allows.

03

Business development

For a company taking its business into a country it has not worked in before.

Market entry and entity set-up

Company, branch, agent or distributor: which route fits, which legal form, who signs for it and what must be registered before it can trade. Lexaero sets out the options, prepares the documents, drafts the agency or distribution agreement where that is the route, and runs a formation with the notary or local agent.

Trade marks and brand

Clearance research across the EU, national and international registers, naming options where a first choice is blocked, and preparation of the specification and filing.

Applications are filed by the client in its own name or through a registered representative.

Business planning

Turning a product or market idea into a plan a board, a funder or a partner can test: positioning, structure, milestones and the regulatory conditions it depends on.

Market and pricing analysis

Competitor benchmarks and pricing models built from public sources, so a commercial decision rests on evidence.

04

Funding

For companies financing the next stage with public money, private money or both.

Funding routes

Mapping public innovation funding at EU and national level against what the company is building: eligibility, consortium structure and timing.

Applications and grant terms

Planning and drafting the application with your team, and reading the grant agreement's conditions on IP, reporting and audit before you sign it.

Investor readiness

A clean corporate record, an ordered data room, and a review of the term sheet and shareholder arrangements.

Lexaero does not broker investments and does not give investment advice.

How to engage

Three ways to engage

Defined scope

Fixed-scope project

One deliverable or package at a fixed price: an entity set-up, a contract suite, a clearance report, a policy set, a funding application.

Assessment

The Diagnostic

Three weeks, fixed fee. A findings report and a costed roadmap across data protection, your sector regime and AI.

The Diagnostic

Ongoing

Retainer

A monthly arrangement for continuing support and authorised-representative filings, with the scope written down and reviewed as the work changes. Lexaero then works as your legal function, or alongside the one you have.

Lexaero is a consultancy and not a law firm. What that means for an engagement is set out under About, Status. Fees are fixed, exclude VAT and third-party costs such as notary, registry and official filing fees, and are confirmed in writing before work starts.
